Purpose:

The VP, Corporate Development manages transaction underwriting and execution of reinsurance and mergers and acquisitions transactions to maximize value and support Athene’s overall strategy. The successful candidate will lead a technical pricing team through the full transaction life cycle; interfacing directly with executives and industry and functional experts to evaluate key business drivers and assumptions to determine deal potential. Key activities include: conducting financial analysis/evaluation, leading and managing the due diligence, analyzing actuarial experience and setting assumptions, pricing, structuring, preparing reports/recommendations, and participating in post-closing deal integration and transition.


Accountabilities:

  • Lead the overall transaction underwriting process, management and decision-making to ensure Athene maximizes short, medium and long-term profitability and shareholder returns of potential deals
  • Create, or supervise the creation of, pricing models for each proposed transaction
  • Analyze due diligence materials including Actuarial appraisals, Confidential Information memoranda, policy forms, Cash Flow Testing memoranda, and insurance liability cash flows
  • Lead the development of experience analysis, assumptions setting, and other key inputs within transaction diligence and pricing
  • Identify, pursue and execute on structural solutions to improve transaction economics
  • Lead the preparation of internal deal documents such as the Transaction Memorandum and materials for the management approval process (Large Case Approval Committee)
  • Develop and cultivate relationships with external partners and consultants to ensure targeted outcomes are achieved from transactions, recognizing local market drivers and influences
  • Liaise with Executive Committee and key stakeholders to ensure understanding of all operational and financial risks and commitments for identified transactions
  • Develop, recommend and implement effective pricing methodology and framework to stress test prospective deals to ensure transaction is value creating
  • Prepare business cases, communications, and reports on deal progress including descriptions of findings, both positive and negative
  • Lead cross organizational project teams through due diligence and assimilation processes by collaborating with key internal partners (Actuarial, HR, Legal, Finance, Tax/Compliance, IT, and Operations), subject matter experts and external parties
  • Partner and engage with key stakeholders across the organization to support the development and implementation of new transactions
  • Partner with internal departments (Finance, Legal, etc.) to continue to monitor post-deal activities to measure expected vs. actual outcomes
  • Act as a consistent team player who effectively works across Athene to advance firm’s goals while assisting with the development of junior talent
  • Peer review work product created by others in the Corporate Development department
  • Maintain appropriate levels of confidentiality


Qualifications and Experience:

  • 7+ years of experience in the life insurance or reinsurance industry or investment banking background with significant experience in the financial services / insurance sector
  • 3+ years of demonstrated leadership experience
  • Bachelor’s degree in Mathematics, Finance or related field.  Preferred Society of Actuaries ASA or FSA
  • Extensive knowledge of US STAT Reserving, reinsurance, and M&A practices, including corporate M&A, private equity, due diligence, post deal integration, tax consulting and planning, transaction structuring, restructuring, strategy formulation and financial modeling
  • Significant experience with life insurance and/or annuities with expertise in transaction pricing models, liability management, actuarial assumption setting and accounting (STAT and GAAP)
  • Ideal candidate has U.S. Stat, GAAP, Bermuda EBS and U.S tax accounting knowledge and familiarity with other global solvency regimes is a benefit
  • Strong record of leading and completing successful transactions
  • Strategic thinker with intellectual curiosity; has creative insight and ability to develop new ideas beyond already analyzed options, understand broad corporate impacts, and focus on company objectives
  • Advanced user of Microsoft Excel, with the ability to embed good organization and high levels of flexibility and auditability in large projects
  • Experience with actuarial systems, such as MG ALFA, Polysystems or GGY AXIS
  • Expert communicator with ability to appropriately influence and build consensus, engage and negotiate with executive management both internally and externally
  • Strong attention to detail and the ability to prioritize and lead multi-disciplinary teams to deliver project outcomes over long periods of time
  • Ability to travel will be required, potentially with short notice based on transaction deal need


$186,800.00 - $280,200.00 USD Annual


Annual Salary for this role is market competitive.  Actual salary for all roles will be based upon geographic location, work experience, education, licensure requirements and/or skill level and will be finalized at the time of offer.  Depending on the role, a discretionary bonus plan or variable sales incentive may be included.
